Terms of Service

Acceptance of Terms

By accessing or using the Business Partner Vetting platform (“BPV,” “we,” “us,” or “our”) — including our website, document upload portal, and API — you (“Client,” “you”) agree to be bound by these Terms of Service (“Terms”). If you are accessing BPV on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Description of Services

BPV provides document review and verification services for businesses (“Verification Services”). Our review process evaluates submitted documents for completeness and internal consistency only.

BPV does not:

  • Authenticate documents or detect forgeries
  • Verify the truthfulness or accuracy of information contained in documents
  • Conduct regulatory KYC/KYB review as defined by financial regulators
  • Provide legal, financial, compliance, or investment advice
  • Certify that any business is legitimate, creditworthy, or suitable for any particular transaction

Badges awarded by BPV indicate that we reviewed the corresponding document category and found it complete and internally consistent. A badge is not an endorsement, accreditation, or guarantee of any kind.

3.

Not a Regulated Service

BPV is not a licensed financial institution, law firm, accounting firm, regulatory body, or compliance authority. Our services do not satisfy Know Your Customer (KYC), Know Your Business (KYB), Anti-Money Laundering (AML), or any other regulatory compliance obligations imposed on financial institutions, broker-dealers, or other regulated entities. Clients and any third parties accessing verification results remain solely responsible for their own regulatory compliance obligations.

4.

Payment Terms

Services are provided on a one-time fee basis. All fees are stated in US dollars and are due at the time of purchase via our third-party payment processor.

Refund Policy:

  • Fees are non-refundable once document review has commenced.
  • If you cancel before review begins, we will issue a full refund within 14 business days.
  • If we are unable to complete a review due to an error on our part, we will issue a refund at our reasonable discretion.
5.

Document Submission

By submitting documents through our platform, you represent and warrant that:

  • You have the legal right to submit the documents and all information contained therein
  • The documents are authentic and have not been fabricated or altered
  • You have obtained all necessary authorizations from individuals whose personal data appears in the documents
  • The submission does not violate any applicable law or third-party rights

You acknowledge that BPV relies on these representations in providing the Services.

6.

Data Security and Retention

Documents are transmitted via TLS encryption and stored encrypted at rest. Access is restricted to BPV staff involved in document review.

Documents and associated records are retained for a minimum of five (5) years following verification, consistent with standard AML/CFT record-keeping practices. Following this period, documents may be deleted at our discretion unless a longer retention period is required by applicable law. See our Privacy Policy for full retention details.

7.

Public Profiles and API

Upon completion of verification, a public profile is created displaying your company name and awarded badges. This profile is accessible via a unique URL and through our API. By completing verification, you consent to this public display of your verification status.

Third parties accessing verification results through the BPV website or API do so at their own risk. BPV makes no representations to such third parties regarding the accuracy, completeness, or currency of verification results. Third parties must conduct independent due diligence and may not rely solely on BPV verification results for any business, investment, or regulatory purpose.

8.

Intellectual Property

All intellectual property in the BPV platform — including software, algorithms, documentation, and branding — is owned by BPV and its licensors. You retain ownership of all documents you submit. You grant BPV a limited, non-exclusive license to process your submitted documents solely for the purpose of providing the Services.

9.

Acceptable Use

You may not use the Services to:

  • Submit fraudulent, fabricated, or altered documents
  • Circumvent verification requirements imposed on regulated entities
  • Access the platform in a manner that interferes with its operation or security
  • Resell or redistribute verification results as your own product or service
  • Use verification results as a substitute for legally required compliance procedures

Disclaimer of Warranties

The services are provided “as is” and “as available” without warranty of any kind. BPV expressly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be error-free, uninterrupted, or that verification results will be accurate, complete, or current.

11.

Limitation of Liability

To the maximum extent permitted by applicable law, BPV’s total liability arising out of or related to these Terms or the Services shall not exceed the amount paid by you for the specific verification service giving rise to the claim. BPV shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if advised of the possibility of such damages.

12.

Indemnification

You agree to indemnify and hold harmless BPV and its officers, employees, and agents from any claims, losses, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

13.

Modifications to Terms

We may update these Terms at any time. Material changes will be communicated by updating the “Last Updated” date at the top of this page. Where practicable, we will provide notice by email. Continued use of the Services following the effective date of any changes constitutes acceptance of the updated Terms.

14.

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be settled by binding arbitration under the rules of the American Arbitration Association, conducted in English.
